The MB Structured Investments Semi-Annual Recallable Fixed Growth Plan is a maximum 6 year and 3 week investment that offers a fixed gross growth payment of 3.275% for semi-annual period the plan runs.

At the Maturity Date or if the Plan matures early, the amount you invest in the Plan  (your ‘Capital’) will be returned in full, subject to Counterparty Risk.

From Year 2, the Issuer can terminate the Plan on any Anniversary Date at its own  discretion. In this event, the Plan will mature early and make a gross investment return of 3.275% of the money you invest for every six months the Plan has been in force. The  first date on which an early maturity could be triggered will be on two years after the Start Date.  If the Plan has not matured early, the Plan will pay an investment return at the Maturity Date equal to 39.30% of the money you invest.

The Securities purchased will be Notes issued by Barclays Bank plc and can be  viewed in a similar way to a loan to the Issuer.

It is possible that the Counterparty could collapse or fail to make the payments due from the Plan. If this happened, the investor would lose some, or all, of the money they invest in the Plan, as well as, any income payments to which they might otherwise have become entitled.

It is MB Structured Investment’s understanding that any growth payments from a direct investment by individuals or Trusts into this Plan are expected to be subject to Income Tax.

The product is designed to provide (1) a return in the form of fixed rate interest  payments and (2) repayment of the product notional amount on termination of the  product. The product notional amount will be repaid either (a) on the maturity date or  (b) if we exercise our option to terminate the product prior to the maturity date, on the  relevant call payment date. The product has a fixed term and will terminate on the  maturity date, unless terminated early.

Early termination following a call: We have the right, exercisable on each call  exercise date, to terminate the product. In this case, the product will terminate and you will on the immediately following call payment date receive a cash payment equal to  the applicable call payment. The relevant dates and call payments are shown in the  table in the key information document.

Termination on the maturity date: If the product has not terminated early, on the maturity date you will receive  GBP 1.393.

Under the product terms, certain dates specified above and below will be adjusted if  the respective date is either not a business day or not a trading day (as applicable).  Any adjustments may affect the return, if any, you receive.

The product terms also provide that if certain exceptional events occur (1) adjustments may be made to the product and/or (2) the issuer may terminate the product early.  These events are specified in the product terms and principally relate to the product  and the issuer. The return (if any) you receive on such early termination is likely to be  different from the scenarios described above and may be less than the amount you  invested.

When purchasing this product during its lifetime, the purchase price may include  accrued interest on a pro rata basis.

The product is intended to be offered to retail investors who fulfil all of the criteria below:

1. they have basic knowledge and/or experience of investing in similar products which  provide a similar market exposure and have the ability to understand the product and  its possible risks and rewards, either independently or through professional advice;

2. they seek income and/or full protection of the product notional amount, subject to  the issuer’s ability to pay and understand that the product may terminate early;

3. they accept the risk that the issuer could fail to pay or perform its obligations under  the product but otherwise they are not able to bear any loss of their investment; and

4. they are willing to accept a level of risk to achieve potential returns that is consistent with the summary risk indicator shown in the key information document.
